Thank you for choosing SitByCare. Our mission is to make meaningful human connection more accessible by helping individuals and families find trusted companionship while empowering compassionate people to make a positive difference in the lives of others.

These Terms of Service (“Terms“) govern your access to and use of the SitByCare website, mobile applications, and all related products, features, technologies, and services (collectively, the “Platform“).

Please read these Terms carefully before using the Platform.

1. Acceptance of These Terms

These Terms constitute a legally binding agreement between you and SitByCare, Inc. (“SitByCare,” “we,” “our,” or “us“).

By creating an account, accessing or using the Platform, clicking “I Agree,” booking a service, offering services as a Companion, or otherwise using any part of the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, Community Standards, Cancellation & Refund Policy, and any additional policies or guidelines that may apply to specific features or services offered through SitByCare.

If you do not agree to these Terms, you may not access or use the Platform.

We may update these Terms from time to time to reflect changes in our Platform, services, legal requirements, or business practices. When we make material changes, we will update the Effective Date at the top of these Terms and, where required by law, provide additional notice. Your continued use of the Platform after updated Terms become effective constitutes your acceptance of the revised Terms.

2. About SitByCare

SitByCare is an online marketplace that connects individuals and families (“Members“) with independent companions (“Companions“) who offer in-person and virtual companionship services.

Through the Platform, Members and Companions can:

  • Create personalized profiles.

  • Discover and connect with one another.

  • Receive and respond to booking requests.

  • Schedule companionship sessions.

  • Communicate through the Platform.

  • Process secure payments.

  • Receive booking notifications.

  • Exchange ratings and reviews.

  • Access additional tools and features designed to enhance the companionship experience.

Companions come from diverse backgrounds and may include students, retirees, caregivers, healthcare professionals, and other individuals who are passionate about providing meaningful companionship.

Depending on a Companion’s qualifications, certifications, experience, applicable laws, and a Member’s individual needs, some Companions may also provide certain non-medical support or healthcare-related services where legally permitted and mutually agreed upon between the Member and the Companion.

SitByCare provides the technology platform that facilitates introductions, bookings, communication, and payments between Members and Companions.

Unless expressly stated otherwise:

  • SitByCare is not the employer of any Companion.

  • SitByCare is not an employment agency, staffing agency, or referral agency.

  • SitByCare is not a home healthcare agency.

  • SitByCare is not a hospital, nursing provider, medical practice, or emergency response service.

  • SitByCare does not supervise, direct, or control how Companions perform their services.

Companions are independent service providers and are solely responsible for the services they choose to offer and perform. Members are solely responsible for selecting the Companion they believe best meets their individual needs.

3. Definitions

For purposes of these Terms:

“Member” means an individual, family member, caregiver, patient, or authorized representative who creates an account to search for, communicate with, or book services through SitByCare.

“Companion” means an independent individual who creates an account to offer companionship or other approved services through the Platform.

“User” means any individual who visits, accesses, registers for, or uses the SitByCare Platform, including Members and Companions.

“Platform” means the SitByCare website, mobile applications, messaging tools, booking systems, payment systems, software, content, and all related products and services operated by SitByCare.

“Services” means all services, features, tools, communications, booking functionality, virtual companionship, in-person companionship, payment processing, and other offerings made available through the Platform.

“Booking” means any request for companionship services that is submitted, accepted, scheduled, modified, completed, cancelled, or otherwise managed through the Platform.

“Personal Information” has the meaning described in our Privacy Policy.

“Content” means all text, photographs, images, videos, reviews, ratings, profile information, messages, documents, and other information submitted, uploaded, displayed, or transmitted through the Platform.

4. Eligibility

To create an account or use the SitByCare Platform, you represent and warrant that:

  • You are at least 18 years of age or the age of legal majority in your jurisdiction.

  • You have the legal capacity to enter into a legally binding agreement.

  • All information you provide to SitByCare is truthful, accurate, current, and complete.

  • You will promptly update your information if it changes.

  • You will comply with all applicable local, state, federal, and international laws while using the Platform.

  • You are not prohibited from using the Platform under applicable law.

If you create an account, request services, or book services on behalf of another individual, you represent and warrant that you have the legal authority to act on that person’s behalf.

SitByCare reserves the right to request additional information to verify your identity or eligibility at any time.

We may suspend, restrict, or terminate your account if we reasonably believe that you have violated these Terms, provided false or misleading information, or are otherwise ineligible to use the Platform.

 

5. Accounts & Registration

To access certain features of the Platform, you must create a SitByCare account.

When registering, you agree to provide accurate, current, and complete information and to keep your account information updated at all times.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. If you believe your account has been accessed without your authorization, you must notify SitByCare immediately.

One Account Per Role

Each SitByCare account may be registered as either a Member or a Companion.

If you wish to use the Platform in both capacities, you must create separate accounts using different email addresses, unless SitByCare introduces a feature that allows multiple roles under a single account.

Account Verification

SitByCare may request additional information to verify your identity, account information, eligibility, or compliance with these Terms.

Verification may include identity verification, phone verification, email verification, government-issued identification, professional credentials, or background screening where applicable.

Failure to provide requested information may result in delayed account approval, restricted access to certain features, or account suspension.

Account Security

You are responsible for safeguarding your password and login credentials.

You agree to:

  • Use a strong, unique password.

  • Not share your login credentials with anyone.

  • Notify SitByCare immediately if you suspect unauthorized access to your account.

  • Log out of your account when using shared or public devices.

SitByCare is not responsible for losses resulting from unauthorized use of your account caused by your failure to protect your login credentials.

6. Member Responsibilities

Members play an important role in creating a safe, respectful, and positive community.

As a Member, you agree to:

  • Provide accurate information when creating your profile and booking services.

  • Treat Companions with courtesy, dignity, and respect.

  • Communicate honestly regarding your needs, expectations, and service requests.

  • Provide a safe environment for in-person services.

  • Review Companion profiles carefully before making a booking.

  • Pay all applicable booking fees through the SitByCare Platform.

  • Respect the independence of Companions and avoid requesting services outside the agreed booking.

  • Comply with all applicable laws while using the Platform.

Members are responsible for determining whether a Companion is appropriate for their individual needs.

While SitByCare provides profile information, ratings, reviews, and other trust features, Members should exercise their own judgment before selecting a Companion.

7. Companion Responsibilities

Companions help create meaningful connections and are expected to provide services professionally, respectfully, and responsibly.

As a Companion, you agree to:

  • Maintain truthful, accurate, and up-to-date profile information.

  • Honor bookings you accept whenever reasonably possible.

  • Arrive on time for scheduled in-person sessions or join virtual sessions promptly.

  • Treat Members with kindness, professionalism, dignity, and respect.

  • Communicate promptly regarding scheduling changes or emergencies.

  • Comply with all applicable laws, licensing requirements, and professional obligations.

  • Maintain any certifications or qualifications you choose to display on your profile.

  • Perform only those services you are qualified, authorized, and legally permitted to provide.

  • Keep Member information confidential and respect their privacy.

Companions acknowledge that they are independent service providers and are solely responsible for determining whether they are qualified to provide requested services.

Companions are responsible for reporting and paying any applicable taxes arising from income earned through the Platform.

8. Bookings

SitByCare enables Members and Companions to connect and arrange companionship services through the Platform.

Booking Requests

Members may submit booking requests for in-person or virtual companionship services.

Companions may receive booking notifications based on factors such as:

  • Availability

  • Service preferences

  • Location

  • Virtual availability

  • Qualifications

  • Other matching criteria used by the Platform

Receiving a booking notification does not guarantee a booking.

Accepting Bookings

Companions may review booking requests before deciding whether to accept them.

Once a booking has been accepted and confirmed, both the Member and the Companion are expected to honor the scheduled commitment.

In-Person & Virtual Services

Bookings may include:

  • In-person companionship

  • Virtual companionship

  • Other approved services made available through the Platform

Members and Companions are responsible for ensuring they have the necessary equipment, internet connection, and environment required for virtual sessions.

Changes & Cancellations

Bookings may be modified, rescheduled, or cancelled in accordance with SitByCare’s Cancellation & Refund Policy.

Users are expected to provide as much notice as reasonably possible when changes become necessary.

Repeated cancellations, no-shows, or failure to honor confirmed bookings may negatively affect account standing, search visibility, eligibility for future bookings, or continued access to the Platform.

Independent Decisions

SitByCare is not a party to the agreement between a Member and a Companion regarding the services provided.

While SitByCare facilitates bookings and secure payments, Members and Companions remain responsible for fulfilling the commitments they make to one another and for communicating regarding the details of their bookings.

 

9. Payments

SitByCare provides a secure payment platform that enables Members to pay for bookings and Companions to receive payouts for completed services.

All payments for bookings arranged through the Platform must be made through SitByCare’s approved payment system unless expressly authorized by SitByCare.

By using the Platform, you agree to comply with all payment terms, fees, and applicable policies.

Member Payments

Members authorize SitByCare and its third-party payment providers to charge the payment method associated with their account for:

  • Booking fees

  • Applicable taxes

  • Service fees

  • Additional authorized charges

  • Other amounts owed in connection with the Platform

Members are responsible for ensuring that their payment information remains accurate and up to date.

Companion Payouts

Companions are responsible for maintaining accurate payout information.

Payouts for completed bookings will be processed through SitByCare’s approved payment providers and are subject to applicable processing times, verification requirements, and any required deductions, adjustments, or holds.

Companions are solely responsible for reporting and paying any taxes applicable to income earned through the Platform.

Platform Payments

To help protect Members, Companions, and the integrity of the Platform, all payments for bookings initiated through SitByCare must remain on the Platform.

Attempting to request, solicit, encourage, or accept payment outside the Platform may result in account restrictions, suspension, or permanent removal from SitByCare.

10. Refunds & Cancellations

Bookings may be cancelled or rescheduled in accordance with SitByCare’s Cancellation & Refund Policy.

Refund eligibility depends on factors such as:

  • Who initiated the cancellation.

  • The timing of the cancellation.

  • Whether the booking had already begun.

  • The type of booking.

  • Other circumstances described in our Cancellation & Refund Policy.

Where applicable, refunds may be issued to the original payment method or as SitByCare account credit.

SitByCare reserves the right to investigate unusual cancellation activity, fraudulent refund requests, or abuse of our refund policies.

Our Cancellation & Refund Policy forms part of these Terms of Service.

11. Gift Cards

SitByCare may offer digital or physical gift cards that may be redeemed toward eligible bookings or other services available on the Platform.

Gift cards:

  • May only be used in accordance with their applicable terms.

  • Are not redeemable for cash except where required by law.

  • May be subject to expiration dates or promotional conditions where permitted by law.

  • May not be resold, transferred for value, or used for fraudulent purposes.

SitByCare reserves the right to suspend or cancel gift cards obtained through fraud, unauthorized activity, or violations of these Terms.

12. Virtual Companionship

SitByCare offers Members and Companions the opportunity to connect through virtual companionship sessions using approved communication tools available through or supported by the Platform.

Virtual companionship allows meaningful connections regardless of geographic location and enables Companions to support Members from virtually anywhere in the United States.

User Responsibilities

Members and Companions are responsible for:

  • Having a reliable internet connection.

  • Using a compatible device with audio and video capabilities when required.

  • Joining sessions on time.

  • Participating respectfully.

  • Maintaining an appropriate environment for virtual sessions.

SitByCare is not responsible for interruptions caused by internet connectivity issues, hardware failures, software incompatibility, or other technical problems beyond our reasonable control.

Virtual companionship sessions must comply with SitByCare’s Community Standards and all applicable laws.

13. Background Checks & Identity Verification

Creating a safe and trusted community is one of SitByCare’s highest priorities.

To help promote safety, SitByCare may require identity verification, background screening, professional credential verification, or other verification processes for Companions and, where appropriate, Members.

Background Screening

Where required by SitByCare, Companions must successfully complete the applicable background screening process before becoming eligible to provide services through the Platform.

Background screening may be conducted by independent third-party providers.

SitByCare may also require updated background checks periodically or when otherwise deemed appropriate.

Identity Verification

SitByCare may request government-issued identification or other documentation to verify a user’s identity, eligibility, or compliance with these Terms.

Failure to complete required verification may result in delayed account approval, restricted access to certain features, suspension, or removal from the Platform.

Important Notice

Although background checks and identity verification may help promote trust and safety, no screening process can guarantee a person’s identity, conduct, or future behavior.

Members and Companions should always exercise good judgment and take appropriate precautions when interacting with others, whether online or in person.

SitByCare reserves the right, but not the obligation, to approve, deny, suspend, or terminate accounts based on verification results, safety concerns, suspected fraud, violations of these Terms, or other factors that may affect the integrity of the Platform.

 

14. Community Standards

SitByCare is built on trust, kindness, respect, and meaningful human connection. Every Member and Companion shares responsibility for creating a welcoming, safe, and professional community.

By using the Platform, you agree to conduct yourself respectfully and in accordance with these Terms and SitByCare’s Community Standards.

Respectful Conduct

Users agree to:

  • Treat others with courtesy, dignity, and respect.

  • Communicate honestly and professionally.

  • Respect personal boundaries and privacy.

  • Honor confirmed bookings whenever reasonably possible.

  • Follow all applicable laws and regulations.

  • Help create a safe and positive environment for everyone.

Prohibited Conduct

You may not use the Platform to:

  • Harass, threaten, intimidate, or abuse another person.

  • Discriminate based on race, ethnicity, nationality, religion, disability, age, gender, gender identity, sexual orientation, or any other legally protected characteristic.

  • Share false, misleading, or fraudulent information.

  • Impersonate another individual or organization.

  • Upload viruses, malware, or other harmful code.

  • Attempt to gain unauthorized access to the Platform or another user’s account.

  • Circumvent SitByCare’s booking or payment system.

  • Request or accept payment outside the Platform for bookings initiated through SitByCare.

  • Use the Platform for illegal, harmful, or fraudulent activities.

  • Violate another person’s privacy or intellectual property rights.

SitByCare reserves the right to investigate reports of misconduct and take appropriate action, including removing content, restricting features, suspending accounts, or permanently removing users from the Platform.

15. Ratings & Reviews

Ratings and reviews help Members and Companions make informed decisions and contribute to a trusted community.

Users may submit reviews only for experiences that are based on genuine interactions or completed bookings through the Platform.

Reviews should:

  • Be truthful and based on firsthand experience.

  • Be respectful and constructive.

  • Reflect the actual experience.

  • Avoid offensive, discriminatory, defamatory, or abusive language.

  • Not include another person’s private or confidential information.

SitByCare does not guarantee the accuracy of reviews and opinions posted by users.

We reserve the right, but not the obligation, to investigate, edit, remove, or decline reviews that violate these Terms, our Community Standards, or applicable laws.

Repeated misuse of the review system may result in suspension or termination of your account.

16. User Content

The Platform allows users to create, upload, post, submit, transmit, and share content, including profiles, biographies, photographs, reviews, ratings, messages, and other materials (“User Content“).

You retain ownership of the User Content you create.

By submitting User Content to SitByCare, you grant SitByCare a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, display, modify (solely for formatting or technical purposes), distribute, and use your User Content as necessary to operate, maintain, improve, promote, and provide the Platform.

You represent and warrant that:

  • You own the User Content or have the necessary rights to submit it.

  • Your User Content does not violate any law or the rights of another person.

  • Your User Content is accurate and not misleading.

  • Your User Content does not contain harmful software or malicious code.

SitByCare may remove, restrict, or refuse to display any User Content that violates these Terms, our Community Standards, applicable law, or that we reasonably believe may harm our users or the integrity of the Platform.

17. Intellectual Property

The SitByCare Platform, including its website, software, mobile applications, logos, trademarks, graphics, design elements, text, images, videos, databases, technology, and other content (excluding User Content), is owned by or licensed to SitByCare and is protected by copyright, trademark, trade secret, and other intellectual property laws.

Except as expressly permitted by these Terms, you may not:

  • Copy, reproduce, modify, distribute, sell, license, or commercially exploit any part of the Platform.

  • Reverse engineer, decompile, or attempt to discover the source code of the Platform.

  • Remove or alter any copyright, trademark, or proprietary notices.

  • Use SitByCare’s name, trademarks, logos, branding, or other intellectual property without our prior written permission.

Nothing in these Terms transfers ownership of SitByCare’s intellectual property to you.

We welcome feedback, suggestions, and ideas about improving the Platform. If you choose to provide feedback, you agree that SitByCare may use it without restriction or compensation to you.

Respecting intellectual property is essential to maintaining a trusted and innovative community. We ask all users to respect the rights of others when using the Platform.

 

18. Suspension & Termination

SitByCare is committed to maintaining a safe, respectful, and trusted community. To protect our Members, Companions, and Platform, we reserve the right to suspend, restrict, or terminate any account that violates these Terms, our Community Standards, or applicable law.

Suspension or Restriction

SitByCare may temporarily suspend or restrict your account if we reasonably believe that you have:

  • Violated these Terms or any SitByCare policy.

  • Provided false, misleading, or fraudulent information.

  • Failed to complete required identity verification or background screening.

  • Engaged in inappropriate, abusive, discriminatory, or unsafe behavior.

  • Attempted to circumvent the Platform’s booking or payment system.

  • Received repeated complaints from other users.

  • Engaged in fraudulent, illegal, or suspicious activity.

  • Created a risk to the safety, security, or integrity of the Platform or its users.

During a suspension, access to certain features or the entire Platform may be limited until the matter has been reviewed.

Termination

SitByCare may permanently terminate your account if we determine, in our sole discretion, that continued access to the Platform would pose a risk to our community or violate these Terms.

You may also choose to close your account at any time through your account settings or by contacting SitByCare.

Termination of your account does not relieve you of any outstanding obligations, including payment obligations, or prevent SitByCare from retaining information where permitted or required by law.

19. Disclaimer

SitByCare provides an online marketplace that enables Members and Companions to connect, communicate, arrange bookings, and process payments.

While we strive to provide a safe, reliable, and trustworthy Platform, SitByCare does not guarantee:

  • That every booking will meet a user’s expectations.

  • The quality, safety, suitability, legality, or outcome of services provided by Companions.

  • The identity, conduct, honesty, qualifications, experience, or future behavior of any user.

  • That the Platform will always operate without interruption, delay, or technical errors.

  • That all information submitted by users is complete, accurate, or current.

Background checks, identity verification, ratings, and reviews are designed to help promote trust, but they do not guarantee a user’s character, qualifications, or future conduct.

Members are responsible for evaluating whether a Companion is appropriate for their individual needs, and Companions are responsible for determining whether they are comfortable accepting a booking.

To the fullest extent permitted by law, the Platform and all services are provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, whether express or implied.

20. Limitation of Liability

To the maximum extent permitted by applicable law, SitByCare, its affiliates, officers, directors, employees, contractors, licensors, and service providers shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from or relating to:

  • Your use of or inability to use the Platform.

  • Any interaction between Members and Companions.

  • Services provided by independent Companions.

  • Booking cancellations or scheduling disputes.

  • User-generated content.

  • Loss of profits, business opportunities, goodwill, data, or reputation.

  • Technical interruptions, system failures, or unauthorized access.

SitByCare’s total aggregate liability arising out of or relating to these Terms or your use of the Platform shall not exceed the greater of:

  • The total amount you paid to SitByCare during the twelve (12) months immediately preceding the event giving rise to the claim; or

  • One hundred U.S. dollars (US $100),

except where a greater limitation is prohibited by applicable law.

Nothing in these Terms limits liability that cannot legally be limited under applicable law.

21. Governing Law & Dispute Resolution

These Terms shall be governed by and interpreted in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

Any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Platform shall first be addressed through good-faith negotiations between the parties.

If a dispute cannot be resolved informally, it shall be resolved in the state or federal courts having jurisdiction in Delaware, unless applicable law requires otherwise.

You agree to submit to the personal jurisdiction of those courts for the purpose of resolving any disputes arising under these Terms.

Nothing in these Terms prevents either party from seeking temporary or injunctive relief where permitted by law.

22. Changes to These Terms

SitByCare may update these Terms from time to time to reflect changes in our Platform, services, business practices, or legal obligations.

When material changes are made, we will update the Effective Date at the beginning of these Terms and, where required by law, provide additional notice through the Platform or by email.

Your continued use of the Platform after updated Terms become effective constitutes your acceptance of the revised Terms.
